Clifford Nastas
Chief Executive Officer, Director
Clifford Nastas has served as chief executive officer and director of Material Sciences since December 2005. Since his appointment as president and chief operating officer in June 2005, Nastas has been responsible for all operations, sales and marketing, purchasing and human resources functions for Material Sciences. Nastas joined Material Sciences in 2001 and has held several management roles during his tenure. He previously held management positions with Honeywell, Ford Motor Company and Avery Dennison. Mr. Nastas served as a member of the board of directors of Quixote Corporation until the company was sold in March 2010. He holds a Master of Business Administration degree from Case Western Reserve University and a Bachelor of Science degree in chemical engineering from Wayne State University.
James Pawlak
Vice President, Chief Financial Officer
Corporate Controller and Corporate Secretary
In February 2010, Jim Pawlak was named vice president, chief financial officer, corporate controller and corporate secretary. Since joining MSC in 1990, Mr. Pawlak has progressed through several financial positions of increasing financial responsibility, including serving as Business Unit Controller from September 1996 to July 2005, as Director of Financial Planning and Analysis from July 2005 to September 2006 and as Director of Finance from September 2006 to February 2010. Mr. Pawlak holds a Bachelor of Science in Finance from Northern Illinois University and is a registered certified public accountant.
Matthew Murphy
Vice President, General Manager of Asia
Mr. Murphy has served as Vice President, General Manager of Asia since December 2009. Before this position, Mr. Murphy held a number of positions with MSC, including Vice President, Global Transportation Sales and Marketing from March 2008 to December 2009; Plant Manager at the MSC Walbridge Coatings facility from May 2007 to March 2008; Director of Automotive Sales and Marketing from March 2005 to May 2007; Marketing Manager of Automotive Accounts from December 2002 to March 2005; and Strategic Account Manager from April 2001 to December 2002. Prior to joining MSC, Mr. Murphy held positions in manufacturing, sales and marketing with General Motors Corporation, AlliedSignal Inc. and GW Plastics, Inc.
Michael Wilson
Vice President, Operations
Mike has served as Vice President of Global Operations since February 1, 2008. Prior to this appointment, Mr. Wilson worked for Ford Motor Company, an automobile manufacturer, in operations and manufacturing engineering for more than 24 years. Mr. Wilson held many operating positions for Ford in stamping and assembly and he also served as Chief Engineer, Final Assembly Engineering, and Chief Engineer, Paint Engineering, where he had global responsibility for facilities, product launch and materials development.

Terry L. Bernander
Director
A director since October 2008, Mr. Bernander, a market consultant, was president & chief executive officer of AZ Automotive Corporation, a Tier 1 automotive supplier of highly engineered metal-formed components, complex modules and mechanical assemblies, a position he has held from June 2002 through March 2009. From 1997 through 2001, Bernander held the role of president & chief executive officer of Faurecia Exhaust Division, AP Automotive Systems and Tube Products, each of which are portfolio companies of Questor Management Company. He also serves as a member of the board of directors of Polar Corporation since 2003.
Frank L. Hohmann III
Director
A director since 2002, Frank Hohmann is a private investor who spent 23 years with Donaldson, Lufkin & Jenrette, which was acquired by Credit Suisse First Boston. Hohmann was a managing director in the equity derivatives group at Credit Suisse First Boston until his retirement in 2002. Prior to Donaldson, Lufkin & Jenrette, Hohmann was a managing director at WM Sword and Co. He is a member of the board of directors of Egerton Capital Limited, a trustee of Winterthur Museum and a trustee of Madison Avenue Presbyterian Church.
Samuel Licavoli
Director
Mr. Licavoli has been a director since April 2006. In 2003 he retired from his role as the president and chief executive officer of the Industrial Group of Businesses at Textron, Inc. Previously he served as chairman, president and chief executive officer of Textron’s Industrial Products Group from July 2000 through January 2002 and as chairman, president and chief executive officer of Textron’s Automotive Group from June 1998 through July 2000. Licavoli was president of Textron’s Automotive Trim Company from 1996 through June 1998. He is a member of the board of directors of Waterbury Companies, Inc. and Taylor-Wharton International, a private equity portfolio company.
Patrick J. McDonnell
Director
Patrick McDonnell was named a director in December 2006. He is president and chief executive officer of The McDonnell Company, LLC, a company he founded in July 2000. The McDonnell Company is a consulting firm that counsels companies through significant transitions. Previously McDonnell served as president of Jordan Professional Services and prior to that as president and chief operating officer of LAI Worldwide, Inc. During his 28-year tenure at Coopers & Lybrand, McDonnell held a number of leadership positions and completed his career at the company as vice chairman of the business assurance division from 1993 to 1998. Mr. McDonnell is a member of the board of directors of First Midwest Bancorp.

John Reilly
Non-Executive Chairman of the Board
Named non-executive chairman of the board in June 2008, John Reilly has served as a director since 2004. He is the retired chairman, president and chief executive officer of Scott Technologies, Inc. He has more than thirty years of experience in the automotive industry where he has served as a senior officer with a number of automotive suppliers, including Stant Corporation and Tenneco Automotive. He has also held leadership positions at the former Chrysler Corporation and Navistar International, was president of Brunswick Corporation, and served as chairman, chief executive officer and president of Figgie International. Reilly serves on the board of directors of Exide Technologies, where he is non-executive chairman of the board, The Timken Company, and Marshfield Door Systems, Inc.
Dominick Schiano
Director
Dominick Schiano was named a director in July 2007. Since May 2010,
Mr. Schiano has been president and co-founding partner at Evergreen Capital Partners LLC, an investment firm that provides advisory services to and co-invests with TowerBrook Capital Partners L.P. From March 2007 to December 2010, Evergreen Capital Partners provided advisory services and c-invested with DLJ Merchant Banking Partners. Mr. Schiano served in the role of vice chairman global investment partners. From September 2003 to March 2007, he served as a managing director of Questor Management Company. From September 1997 to January 2003, Mr. Schiano served at Textron, Inc. as executive vice president and chief financial officer of Textron Fastening Systems, Inc. and mostly recently, as executive vice president and general manager at Textron Fastening Systems, Inc.-Threaded Products Group. Prior to that, Mr. Schiano held roles of increasing responsibility in finance, mergers and acquisitions and operations at Emerson Electric Co., Gulf+Western Industries Inc., Wickes Companies, Inc. and TRW Inc.
Mr. Schiano serves as a director and member of the audit committee of Hilex Poly Co. LLP.
